Quotation Policy
Nuwa Discovery Solutions ("Nuwa Discovery") provides quotations for research-use-only (RUO) chemicals and biochemical products to qualified customers worldwide. Nuwa Discovery primarily serves qualified research institutions, biotechnology companies, pharmaceutical companies, and other professional organizations.
Please note:
- (a) Nuwa Discovery does not provide GMP-certified products, DMF-supported products, or products intended for pharmaceutical manufacturing.
- (b) Nuwa Discovery Products are supplied for research use only and are not intended for human, veterinary, clinical, diagnostic, or therapeutic applications.
- (c) Nuwa Discovery does not sell -controlled substances or products restricted by the NDPS (Narcotic Drugs and Psychotropic Substances Act, 1985) and the Drugs and Cosmetics Act, 194
The following Terms and Conditions apply to all quotations, sales, custom synthesis projects, and shipments by Nuwa Discovery Solutions ("Nuwa Discovery") unless otherwise agreed in writing.
A. General Terms and Conditions
1. Quotations
Unless otherwise stated, quotations remain valid for 30 days from the quotation date. Prices, availability, and delivery schedules are subject to change prior to acceptance of the quotation. Unless otherwise specified, all prices are quoted in United States Dollars (USD).
2. Product Information
Product description, quantity, purity specification, unit price, and estimated lead time are listed in the quotation. Estimated lead times are provided in good faith based on current production schedules and supplier information and should not be interpreted as guaranteed delivery dates.
3. Product Documentation
Each shipment will include a Certificate of Analysis (CoA). When available, Nuwa Discovery will also provide analytical data, including but not limited to HPLC, LC-MS, NMR, or other appropriate analytical reports demonstrating product identity and purity.
4. Shipping
Nuwa Discovery normally ships orders through FedEx. When FedEx service is unavailable or impractical, Nuwa Discovery may ship using DHL, USPS, UPS, or another suitable carrier. Shipping and handling charges will be prepaid by Nuwa Discovery and added to the invoice unless otherwise agreed.
5. Partial Shipping
For orders containing multiple products, some items may require additional lead time before becoming available. By default, Nuwa Discovery will consolidate all items and ship the complete order in a single shipment once all products have arrived at our warehouse. However, upon the Customer's request, Nuwa Discovery may arrange partial shipments, with available products shipped as soon as practicable and the remaining products shipped when they become available. Unless otherwise agreed in writing, only one shipping and handling charge will be applied to the entire order, and no additional shipping charge will be applied for subsequent partial shipments.
6. Taxes, Duties and Import Fees
Customer is solely responsible for: (a) import duties; (b) customs duties; (c) VAT/GST; (d) brokerage fees; (e) inspection fees; (f) import permits; (g) customs clearance expenses; (h) all other governmental charges.
7. Customs Declaration
Unless otherwise required by law or specifically requested by the Customer, Nuwa Discovery will declare products as laboratory chemicals intended for research, laboratory testing, analytical, or manufacturing use. Declared customs value will generally reflect Nuwa Discovery's commercial invoice value or purchase value, as required by applicable customs regulations.
8. Payment Terms
Unless otherwise agreed in writing:
- (a) Universities, government laboratories, nonprofit research institutes, and publicly traded companies generally qualify for Net 30 payment terms following credit approval.
- (b) Customers with an established satisfactory payment history may also qualify for Net 30 terms.
- (c) All other customers must prepay by bank wire transfer or credit card. Invoices not paid within the agreed payment period are subject to a finance charge of 5% per month, or the maximum amount permitted by applicable law, whichever is lower. Customer shall be responsible for all reasonable collection costs, including attorney's fees were permitted by law.
9. Ordering
Orders may be placed by: (a) Purchase Order and Purchase Orders should be submitted electronically.
10. Research Use Only
Unless specifically stated otherwise, all products are sold solely for: (a) laboratory research; (b) analytical testing; (c) research and development, (d) manufacturing applications.
Products are NOT intended for (a) human use; (b) veterinary use; (c) clinical use; (d) pharmaceutical production; (e) food; (f) cosmetics; (g) agriculture; (h) household use.
11. End User Requirements
Customer represents and warrants that: (a) products will only be used by qualified professionals; (b) products will not be administered to humans or animals; (c) products will not be used in any clinical, diagnostic, therapeutic, pharmaceutical, food, cosmetic, agricultural, or household application; (d) products will be handled in accordance with all applicable laboratory safety regulations.
Nuwa Discovery sells only to legitimate businesses, universities, government laboratories, and research institutions. Nuwa Discovery generally does not ship products to residential addresses.
12. Patent Compliance
Certain products may be protected by patents in one or more countries. Customer is solely responsible for determining whether the purchase, importation, possession, or use of any product infringes intellectual property rights or violates applicable laws.
13. Product Inspection and Acceptance
Customer should inspect all shipments immediately upon receipt. Claims involving: (a) shipping damage; (b) incorrect products; (c) shortages; (d) missing documentation; must be reported within five (5) business days after delivery; Failure to report such issues within this period constitutes acceptance of the shipment.
14. Storage and Stability
Many research chemicals are sensitive to temperature, moisture, oxygen, or light. Customer is responsible for: (a) promptly inspecting products upon receipt;(b) storing products according to the storage conditions provided by Nuwa Discovery; (c) minimizing unnecessary prolonged exposure to unsuitable environmental conditions. Nuwa Discovery cannot be responsible for product deterioration resulting from improper storage or handling after delivery.
15. Limited Warranty
Nuwa Discovery warrants that products are free from defects in materials and workmanship and substantially conform to accompanying product specifications for 30 days after shipment.
If Nuwa Discovery determines that a product fails to meet this warranty, Nuwa Discovery may, at its sole discretion: (a) replace the product; or (b) refund the purchase price. This constitutes Customer's exclusive remedy.
16. Disclaimer of Warranties
Except as expressly stated herein, Nuwa Discovery makes no other warranties, express or implied. Specifically, Nuwa Discovery does NOT warrant: (a) biological activity; (b) experimental reproducibility; (c) suitability for any specific research purpose; (d) fitness for a particular purpose; (e) merchantability; (f) success of Customer's research. Research results depend upon numerous variables beyond Nuwa Discovery's control.
17. Limitation of Liability
Under no circumstances shall Nuwa Discovery be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to: (a) loss of research; (b) loss of data; (c) business interruption; (d) lost profits; (e) lost revenue; (f) equipment damage; (h) property damage; (i) personal injury; (j) replacement costs.
Nuwa Discovery's total liability shall never exceed the purchase price of the affected product.
18. Force Majeure
Nuwa Discovery shall not be liable for delays or failure to perform caused by circumstances beyond its reasonable control, including but not limited to: (a) natural disasters; (b) pandemics; (c) war; (d) terrorism; (e) labor disputes; (f) governmental actions; (g) customs delays; (h) transportation disruptions; (i) supplier shortages; (j) utility failures.
Delivery schedules shall be extended for the duration of such events.
19. Governing Law
These Terms and Conditions shall be governed by and interpreted under the laws of the State of Karnataka, India, without regard to conflict of law principles.
20. Entire Agreement
These Terms and Conditions, together with the quotation, constitute the complete agreement between Nuwa Discovery and Customer. Any conflicting or additional terms contained in Customer purchase orders or other documents shall not apply unless expressly accepted in writing by Nuwa Discovery.
B. Additional Terms for Custom Synthesis Services
1. Project Initiation
Upon receipt of an official Purchase Order, Nuwa Discovery will normally begin project activities within one week, subject to scheduling and material availability.
2. Project Communication
Progress reports will normally be provided approximately every 3–4 weeks, or whenever significant technical developments occur.
3. Salt Selection
Where scientifically appropriate, Nuwa Discovery may recommend preparing a compound as a salt rather than the corresponding free base or free acid to improve: (a) stability; (b) purification; (c) handling; (d) physical properties; (e) solubility
Whenever practical, Nuwa Discovery will consult Customer before making such changes.
4. Product Appearance
Nuwa Discovery guarantees chemical identity and specified purity. Physical appearance is not guaranteed to match literature reports. Color, crystal morphology, particle size, polymorphic form, or physical state may vary. Certain compounds may naturally exist as oils, semi-solids, gums, waxes, or viscous materials. Such differences do not constitute product defects.
5. Estimated Lead Time
Lead times are estimates based on published chemistry, previous experience, reagent availability, and anticipated synthetic complexity. Actual completion dates may vary due to unforeseen chemistry, purification challenges, raw material availability, or other technical factors. Nuwa Discovery will make commercially reasonable efforts to meet estimated schedules but cannot guarantee delivery by any specific date.
6. Technical Feasibility
Custom synthesis is experimental in nature. Certain literature procedures cannot be reproduced despite reasonable scientific efforts. Project success cannot be guaranteed.
7. Customer Cancellation
Customer may cancel a project upon 30 days written notice. Customer shall pay for all completed work, purchased materials, committed subcontractor expenses, and reasonable costs incurred prior to the cancellation date.
8. Nuwa Discovery Cancellation
Nuwa Discovery reserves the right to terminate a project if: (a) synthesis is technically infeasible; (b) published procedures cannot be reproduced; (c) chemistry proves unsuccessful; (d) critical raw materials become unavailable; (e) continuation is no longer commercially reasonable. If Nuwa Discovery terminates the project before completion, Customer shall not be charged for unfinished work beyond any previously agreed milestone payments.
9. Ownership of Deliverables
Unless otherwise agreed in writing, Customer shall own the physical materials produced under the project upon full payment.
Nuwa Discovery retains ownership of its proprietary know-how, synthetic methodologies, manufacturing processes, analytical methods, and any pre-existing intellectual property used in performing the project.
10. Confidentiality
Both parties shall treat all non-public technical and commercial information exchanged during the project as confidential and shall not disclose such information to third parties except as required by law or with prior written consent.
